Terms of a Glion subscription
The terms on which you buy a Pro or Ultra subscription: what a licence covers, how you pay, and how it ends. Running the free Community edition needs none of this.
Draft — not yet reviewed by counsel; not in effect
Nothing on this page binds anyone yet. Checkout is closed, so nothing is sold under it. Words in square brackets, like [LEGAL NAME], are blanks still to be filled.
In effect from [DATE IN EFFECT]
1. Who these terms are between
These terms are between [LEGAL NAME] ([SOLE TRADER OR COMPANY, WITH REGISTRATION NUMBER]), of [ADDRESS], which makes Glion ("we", "us"), and the person or organisation that buys a subscription ("you"). If you accept them for an organisation, you confirm you may bind it.
You accept them when you complete a purchase, or when you sign an order for Ultra. An Ultra order may change them; where it does, the order wins.
2. The Community edition
Glion is licensed under the Apache License, Version 2.0. The Community edition is that licence and nothing more: it is free, you run it yourself, and these terms do not apply to it.
Nothing in these terms narrows what Apache-2.0 lets you do with Glion's code. A subscription buys the things in section 3; it does not buy, and you do not need, permission to use the code.
3. What a subscription licenses
While your subscription is active, and as long as you keep to these terms, you get:
- A licence for one deployment. One licence is one deployment. Running more deployments needs more licences, or an Ultra order.
- A signed licence key that Glion checks on your deployment, offline. It does not contact us to do so.
- Email support and updates, as section 6 describes.
- Business features that we name as included in your plan on thepricing page, once they are available. None is available today. We do not promise that any particular one will be built, or when.
You may install and use the licensed deployment for your own business, including to run Glion for your own clients, one licence per client deployment.
4. What you agree to
- Not to use one licence key for more than one deployment at a time.
- Not to share, sell or publish a licence key, or let anyone else use it.
- Not to alter or get around the licence key check to use a paid feature you have not paid for. This limits how you may use the key and the paid features, not your rights in the code under Apache-2.0.
- To keep your account details with Paddle and with us accurate, so we can send you your key and reach you about your subscription.
- To use Glion lawfully, and only on networks, systems and services you own or are allowed to operate. Glion scans networks and acts on infrastructure; you are responsible for having the right to point it at them.
5. Ordering, payment and taxes
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
So when you buy a subscription, Paddle is the seller. Your purchase is also governed byPaddle's buyer terms. Paddle takes payment, charges sales tax or VAT where it is due, and issues your invoice and receipts.
- Prices are on the pricing page, in US dollars, before tax. Pro is billed monthly or yearly, per deployment.
- A subscription renews at the end of each billing period, at the then-current price, until it is cancelled. We tell you at least [NUMBER OF DAYS] days before a price change reaches your renewal.
- You can cancel at any time, through the link in Paddle's emails, at paddle.net, or by writing to [email protected]. Cancelling stops the next renewal; the period you have paid for runs to its end.
- Refunds are covered by our refund policy.
- Ultra is priced and invoiced as its order says.
6. Support and updates
Support. Write to [email protected][, OR CALL SUPPORT PHONE, ONCE THERE IS ONE]. We answer questions about installing, configuring and running Glion, and look into faults you report. Pro support has no guaranteed response time. Glion is maintained by one person; we answer as soon as we reasonably can.
Updates. A yearly subscription includes the releases published during its year.[HOW A YEAR OF UPDATES APPLIES TO MONTHLY BILLING]. A release you received while subscribed stays yours to run after the subscription ends.
7. How long it lasts, and how it ends
These terms last as long as your subscription. It ends when a cancellation takes effect, when a renewal is not paid, or when either of us ends it for a serious breach the other has not put right within[NUMBER OF DAYS] days of being told about it in writing.
When it ends:
- Your licence key is not renewed, and support and new updates stop.
- Glion keeps running. Everything the Community edition does keeps working, and your data is never locked.
- There are no paid features yet. When there are: [HOW PAID FEATURES BEHAVE WHEN A SUBSCRIPTION ENDS, DECIDED BEFORE ANY LAUNCHES].
Sections 2 and 9 to 14 continue after the end.
8. What we promise
- We have the right to grant the licence in these terms.
- We give support with reasonable care and skill.
- A licence key we issue works, for the deployment and period it was issued for, on a release of Glion that supports it. If it does not, and we cannot fix it, your remedy is a refund of the fees for the period affected.
9. What we do not promise
Apart from section 8, and as far as the law allows, Glion and everything supplied with a subscription are provided "as is", without any other warranty, express or implied, including of merchantability, fitness for a particular purpose or non-infringement.
Glion runs AI agents that act on real infrastructure with the credentials you give it. It holds risky calls for a person, but it cannot know whether an approved action is the right one. You decide which tools an agent is granted, which policies hold its calls, and what is approved. Models can be wrong, and text an agent reads can carry instructions. You are responsible for the actions you allow, and for backups of the systems Glion can reach.
10. Limits on liability
As far as the law allows, neither of us is liable to the other for lost profits, revenue or data, or for indirect, special or consequential loss, and each party's total liability under these terms is limited to[CAP, FOR EXAMPLE THE FEES PAID IN THE 12 MONTHS BEFORE THE CLAIM].
These limits do not apply to liability that the law does not allow to be limited, such as for fraud, or for death or personal injury caused by negligence.
11. Claims by others
Whether either of us defends the other against claims by third parties, and on what conditions, is[TO BE DECIDED WITH COUNSEL].
12. Confidentiality and your data
Each of us keeps the other's non-public information confidential, and uses it only for this subscription. Your licence key, and anything you send us for support, are confidential information of yours.
Glion is self-hosted. It runs on your infrastructure and sends nothing to us, so we do not receive, host or process what your agents do. If you send us logs or configuration for support, we use them only to help you and delete them when the matter is closed. Take credentials out first; if one reaches us, we delete it and tell you. Our privacy policy says what we do hold about you.
13. General terms
- Law and courts. These terms are governed by the laws of [TO BE DECIDED], and the courts of [TO BE DECIDED] decide disputes about them.
- Your rights as a consumer. If you buy as a consumer, nothing in these terms takes away a right that the law where you live gives you and does not let a contract remove.
- Changes. We may change these terms. We tell you by email at least 30 days before a change applies to you, and it applies from your next renewal. If you do not accept it, cancel before then.
- Notices. We write to the email address on your subscription. You write to[email protected], or by post to [ADDRESS].
- Transfer. Neither of us may transfer these terms without the other's consent, except to a business that takes over the whole of the part of our business or yours that they concern.
- Everything agreed. These terms, with an Ultra order where there is one, are the whole agreement about a subscription. If a part is found unenforceable, the rest still applies.
14. Words used here
- Deployment
- One running installation of Glion: its container and the one database it keeps its state in. A copy restored only to recover from a failure, while the original is not running, is the same deployment.
- Licence key
- The signed file or string we issue for one deployment, which Glion checks offline.
- Subscription
- A Pro plan bought through Paddle, or an Ultra plan agreed in an order, while it is paid and not ended.
- Paid features
- Features that work only with a valid licence key. There are none today.
The structure of these terms is based on the Common Paper Software License Agreement (Version1.1), free to use under CC BY 4.0. We rewrote it in plain language, shortened it for self-hosted software sold through a merchant of record, and added sections 2 and 6. Common Paper does not endorse these terms.
